GENERAL TERMS AND CONDITIONS TANJA KLEIN GMBH

General information
These GTC shall form the basis of business transactions between Tanja Klein GmbH as the supplier(Tanja Klein GmbH operates under the brand name “kleinbasel”, hereinafterreferred to as “kleinbasel”) and its customers (hereinafter referred to as the “customer”). The deliveries and services of kleinbasel are provided exclusively on the basis of the following terms and conditions. The scope and price shall be determined by the written contract or the written order confirmation. These GTC replace the previous versions.
Delivery
An agreed delivery period shall commence on the date of acceptance of the order by kleinbasel. However, not before complete clarification of all details of the product design (special production, material availability, production times).
Force majeure or other circumstances for which kleinbasel is not responsible and which make delivery considerably more difficult (more than 10 days) or impossible, such as operational and traffic disruptions, strikes, lockouts, obstruction by official orders, shortage of raw materials and the like shall entitle kleinbasel to postpone the delivery time by the duration of the obstruction and a reasonable start-up period.
Claims for damages are excluded to the extent permitted by law. Kleinbasel is in any case entitled to make partial deliveries and to invoice these as such. In the case of subsequent deliveries within 30 days, the customer shall not be entitled to refuse acceptance.
If the subsequent delivery also fails, mutual claims for damages are excluded in this case.
Shipping and risk
Kleinbasel accepts full liability for transport damage or loss by the carrier, but only until the goods are handed over to the customer. The mode of shipment shall be determined by kleinbasel unless otherwise agreed. Packaging, freight and transportation charges etc. shall be borne by the customer.
Prices
The prices are based on the written order confirmation or the written contract. They correspond to the respective cost situation at the time of the order confirmation or the conclusion of the contract. In the event of extraordinary circumstances occurring prior to delivery, e.g. increases in wages or raw material prices, increases in public charges and levies and the like, kleinbasel reserves the right to increase prices to the value of the additional costs. Prices are generally exclusive of any value added tax and any other charges.
Small quantity surcharge Switzerland
For orders under CHF 500.00, a small quantity surcharge of +20% will be added if the goods are not available from stock.
Quantity discount Switzerland:
For seasonal orders of CHF 5,000.00 or more, we grant a quantity discount of -2%.
For seasonal orders of CHF 10,000.00 or more, we grant a quantity discount of -4%.
Europe
All prices in Euro, excl. Swiss VAT (7.7%).
Delivery may be subject to customs duties and taxes, which vary from country to country. Postage and any transfer charges shall be borne by the customer.
Small quantity surcharge Europe:
For orders under EUR 300.00 a small quantity surcharge of +20% will be added if the goods are not available from stock.
Volume discount Europe:
From an order of EUR 6000.00 we grant a quantity discount of -2%.
Terms of payment
For seasonal orders, an advance payment of 50% of the total invoice amount is due upon receipt of the order confirmation. The advance payment can be paid within 10 days with a 2% discount or within 30 days net.
It is also possible to pay the full invoice amount of the seasonal delivery within 30 days in advance, in which case we can offer you a discount of 4%.
Upon expiry of the payment deadline, default interest of 5% will be charged without any special reminder.
Retention of title
We reserve title to the delivered goods until full payment of all our claims arising from the business relationship with the customer.
Warranty
In the event of justified complaints, we reserve the right to rectify the defect or provide a replacement, provided that suitable replacement goods are available. If the subsequent performance has failed or if no replacement can be provided, the customer shall be entitled to demand a price reduction or to apply for a corresponding credit note, whereby we shall only refund or credit the purchase price once we have received all the goods complained about.
Complaints must be notified to kleinbasel in writing within 10 days of receipt of the goods.
We do not provide any warranty for customary or minor technically unavoidable deviations in quality, color of the leather and fabric, the finish, the design or for minor changes in fashion, which is why warranty claims in this regard are excluded.
Place of performance and jurisdiction, applicable law
The place of performance and jurisdiction for both parties is Basel-Stadt.
The legal relationship between kleinbasel and the customer shall be governed exclusively by Swiss law.
Miscellaneous
The rights of the customer are not transferable without the express consent of kleinbasel.
The invalidity of individual provisions of these Terms and Conditions of Delivery and Payment or other parts of the contract shall not affect the validity of the remaining provisions. The parties undertake to replace an invalid or unenforceable provision with a legally valid or enforceable provision that comes as close as possible to the intended purpose.
Delivery and deadlines
Delivery takes place immediately if the goods are in stock. If an item is no longer in stock, the maximum delivery time is 8 weeks. For seasonal deliveries, the delivery date on the order confirmation applies.
Defective products
Faulty products can be returned within 10 days after consultation. The product will be replaced immediately, otherwise the amount paid will be refunded in full.
Exchange/return
Products that have already been paid for cannot be exchanged or refunded. You will receive a shopping voucher from kleinbasel for the value of the goods, excluding shipping. Products can be exchanged by prior arrangement; they must be returned in their original packaging and unused or brought back to the store. All additional costs in this regard (e.g. shipping, customs duties, taxes, etc.) shall be borne by the customer.
Data protection
Your data will be treated confidentially and will not be passed on to third parties. See also separate privacy policy
General Terms and Conditions
Our GTCs are always an integral part of business activities between the customer and kleinbasel. They supplement the legal basis of the Swiss Code of Obligations (OR). By entering into a business activity, the customer tacitly accepts these provisions. Changes to the GTCs will only apply to future contracts. Swiss law shall apply exclusively, even if orders are placed from abroad or deliveries are made abroad.
